Closure of registration deadline as of 30 June 2007 for proposed settlement preference shares
Unilever N.V. ("Unilever") concluded a settlement on 8 November 2006 with a number of parties, including Dutch Investors’ Association (Vereniging van Effectenbezitters – "VEB"), with respect to the dispute concerning the NLG 0.10 cumulative preference shares issued in 1999 (the "preference shares").
Essence of the settlement
All preference shareholders who fulfil the necessary qualifications and held these preference shares for their own account and risk on 24 March 2004 at 00:00 hours C.E.T. are entitled to compensation.
This compensation amounts to EUR 1.38 plus interest in an amount of EUR 0.16 (thus totalling EUR 1.54) per preference share.
Unilever offered this proposed settlement to the market on 20 January 2007 and stated that investors would be able to register for the settlement until 20 April 2007.
Extension of registration deadline to 30 June 2007
Unilever decided to extend the registration period as Unilever became aware that some investors would require more time to register their preference shares, partly because in some cases there were several securities holding intermediaries. Unilever consequently considered it reasonable and in the interest of a smooth settlement to extend the said registration period.
In view of the above and following discussions with VEB and other parties, Unilever decided to extend the said registration period to 30 June 2007. This registration period is now closed. You cannot register anymore.
Payment of the compensation
Unilever will strive to pay the compensation in May – June 2007 to persons from whom ANT receives a fully and correctly completed registration form by 20 April 2007.
If and insofar as reasons that cannot be attributed to the qualifying persons result in payment not being made until after 30 June 2007, Unilever will pay statutory interest on the Compensation from 1 July 2007.
Unilever will strive to pay the Compensation in July – August 2007 to persons from whom ANT receives a fully and correctly completed registration form after 20 April 2007 but on or before 30 une 2007. If and insofar as reasons that cannot be attributed to the qualifying persons result in payment not being made until after 10 September 2007, Unilever will pay statutory interest on the Compensation from 10 September 2007.
